Roonly is an AI-powered coaching platform for in-person sales teams. The Service includes:

Mobile application for recording and reviewing sales conversations
AI-powered transcription and analysis of conversations
Performance scoring and feedback generation
Manager dashboard for team oversight
Gamification features including points, badges, and leaderboards
Apple Watch companion application

3. Account Registration

To use the Service, you must create an account. You agree to:

Provide accurate, current, and complete information
Maintain and update your information to keep it accurate
Keep your password secure and confidential
Notify us immediately of any unauthorized access to your account
Be responsible for all activities under your account

4. Recording Consent & Compliance

You are solely responsible for ensuring compliance with all applicable laws regarding the recording of conversations.

By using the recording features, you represent and warrant that:

You have obtained all necessary consents from parties being recorded as required by applicable law
You understand that many jurisdictions require all-party consent to record conversations
You will comply with all federal, state, and local laws regarding audio recording
You will not use the Service to record conversations where recording is prohibited

Roonly is not responsible for your failure to obtain proper consent or comply with recording laws.

5. Acceptable Use

You agree not to:

Use the Service for any illegal purpose
Record conversations without proper consent
Upload malicious content or attempt to compromise the Service
Share your account credentials with others
Attempt to reverse engineer or copy the Service
Use the Service to harass, abuse, or harm others
Violate the intellectual property rights of others
Interfere with other users' use of the Service

6. Subscription & Payment

Access to certain features requires a paid subscription. By subscribing, you agree to:

Pay all fees associated with your subscription plan
Provide accurate billing information
Accept automatic renewal unless you cancel before the renewal date

Subscription fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.

7. Intellectual Property

Our Property: The Service, including its software, design, logos, and documentation, is owned by Roonly and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

Your Content: You retain ownership of the content you upload (recordings, notes, etc.). By uploading content, you grant us a license to process, store, and analyze it to provide the Service.

8. Feedback

If you provide us with any feedback, suggestions, ideas, or feature requests regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without restriction or compensation to you.

You acknowledge that:

We may already be developing similar features or functionality independently
We are under no obligation to implement any Feedback
Feedback does not create any confidentiality obligation on our part
You will not receive any compensation for Feedback, even if it is incorporated into the Service

9. AI-Generated Content

The Service uses artificial intelligence to generate transcriptions, scores, and feedback. You acknowledge that:

AI-generated content may contain errors or inaccuracies
Scores and feedback are for informational purposes only
You should not rely solely on AI analysis for important decisions
We are not liable for decisions made based on AI-generated content

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OF AI-GENERATED CONTENT

We do not guarantee that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROONLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Roonly, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any laws including recording consent laws.

14. Termination

We may suspend or terminate your access to the Service at any time for:

Non-payment of fees
Illegal or harmful activity
At our sole discretion with reasonable notice

You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Utah.
